Last updated: 7/14/2026. These Terms are issued by Borderline Entertaining Holdco LLC, a Georgia limited liability company ("Company," "we," "us," or "our"). Part I governs the submission of films to Company festivals. Part II governs the purchase of tickets to, and attendance at, Company festivals and events. The General Provisions in Part III apply to both.
Part I — Film Submission Terms
Applies to anyone submitting a film for festival consideration
These Film Submission Terms govern the submission of any film, video, or related materials (each, a "Film") to any film festival, screening event, or competition (each, a "Festival") organized, hosted, or presented by Company. By submitting a Film, you ("Submitter," "you," or "your") agree to be bound by these Terms. If you do not agree, do not submit a Film.
1. Acceptance of Terms
Submission of a Film constitutes your full and unconditional acceptance of these Terms, together with any festival-specific rules, guidelines, deadlines, or requirements published by Company for a particular Festival ("Festival Rules"). If these Terms conflict with the Festival Rules for a specific Festival, the Festival Rules control for that Festival only. Company may amend these Terms from time to time; the version in effect on the date of your submission governs that submission.
2. Eligibility
You must be at least eighteen (18) years of age at the time of submission, or have the submission made on your behalf by a parent or legal guardian who accepts these Terms. You must be either (a) the sole owner of all rights in the Film, or (b) duly authorized by all rights holders to submit the Film and grant the rights described here, and you represent that you have authority to bind all of them. Company personnel, selection panel members, and their immediate families or households are not eligible.
3. Submission Requirements
Unless the applicable Festival Rules state otherwise, each Film must: (a) run thirty-five (35) minutes or less including all titles and credits; (b) contain no content exceeding an "R" rating under Motion Picture Association ("MPA") classification guidelines, as determined by Company in its sole discretion; and (c) be submitted in the format, by the method, and by the deadline specified in the Festival Rules. Company may reject, disqualify, or decline to review any submission that is incomplete, late, corrupted, unplayable, or non-compliant, without refund. Company has no obligation to review any submission, in whole or in part.
4. Submission Fees
Submission fees, if any, are stated in the applicable Festival Rules. All submission fees are non-refundable — including if the Film is not selected, is withdrawn, is disqualified, or if the Festival is rescheduled or canceled — except where a refund is required by law. Payment of a fee does not guarantee selection, screening, review, feedback, or any other outcome.
5. Ownership; Reservation of Rights
You retain all right, title, and interest in and to your Film, including all copyrights, trademarks, and other intellectual property rights. Nothing in these Terms transfers ownership of the Film or any element of it to Company. Company retains all rights in the Festival itself, including its name, branding, trailers, programs, event footage, and marketing materials (excluding your Film).
6. License Granted to Company
Exhibition License. By submitting, you grant Company a limited, non-exclusive, royalty-free, worldwide license to publicly exhibit and perform the Film, in whole, at the Festival for which it was submitted and selected, including any associated encore, rescheduled, or make-up screening of that same Festival. This license does not permit Company to distribute, sell, sublicense, stream, or otherwise commercially exploit the Film beyond exhibition at the applicable Festival.
Promotional License. You further grant Company a limited, non-exclusive, royalty-free, worldwide license to use the Film's title, synopsis, poster art, stills, and excerpts of up to sixty (60) seconds, together with your name, approved likeness, and biographical information, solely to promote the applicable Festival and Company's festival program, in any media.
Event Documentation. Company may photograph and record the Festival event itself (audience reaction, Q&A sessions, and brief incidental footage of the Film as exhibited) for archival and promotional purposes.
These licenses terminate for your Film if it is not selected, upon valid withdrawal under Section 8, or eighteen (18) months after the applicable Festival, except that Company may continue to use: (a) already-published archival and promotional materials referencing the Festival lineup; and (b) excerpts of up to sixty (60) seconds, stills, and the Film's title and filmmaker credit from Films exhibited at a Festival, in retrospective materials promoting prior festivals and future editions of Company's festival program (for example, highlight reels or "best of" recaps showcasing previous years' selected films).
7. Confidentiality of Submissions
Company will restrict access to submitted Films to Company personnel, the independent selection panel, and service providers reasonably necessary to administer the Festival, each instructed to keep submissions confidential. Company will not publicly distribute or exhibit a non-selected Film, and will not exhibit a selected Film other than as permitted in Section 6. These obligations do not apply to information that is or becomes public through no fault of Company, or that Company must disclose by law.
8. Withdrawal of Submission
You may withdraw your Film from consideration or, prior to the Festival, from exhibition, by written notice to [email protected] from the email address used at submission, identifying the Film and the applicable Festival. Withdrawal is effective upon Company's written confirmation. Company will make commercially reasonable efforts to honor withdrawals received fewer than fourteen (14) days before the Festival, but late withdrawals may not be reflected in printed programs or materials already produced. Withdrawal does not entitle you to a refund of any submission fee.
9. Selection Process
Films are reviewed by an independent selection panel. The number of Films selected (typically three to five) is determined by Company and may vary. All selection, programming, scheduling, and exhibition decisions are made in Company's sole and absolute discretion and are final. Company owes no duty to provide feedback, scores, or explanations. Selection does not guarantee exhibition; Company may remove a selected Film from the program at any time.
10. Compensation
Company has no obligation to pay any Submitter for submitting a Film. Submission creates no entitlement to compensation. Company may, in its sole and absolute discretion, pay filmmakers of selected Films actually exhibited at a Festival a portion of that Festival's ticket sales or such other amount as Company determines. Published or estimated figures are estimates only, not guarantees, and may be adjusted or withheld based on actual ticket sales, event costs, cancellation, or other factors. Any payment is contingent on the Film being selected and actually exhibited, your compliance with these Terms, and your timely completion of requested documentation (including IRS Form W-9). You are solely responsible for taxes on any payment. Nothing here creates an employment, agency, partnership, or joint venture relationship.
11. Your Representations and Warranties
By submitting a Film, you represent and warrant that:
- the Film is your original work and/or you control all rights necessary to grant the licenses in these Terms;
- you have obtained, at your sole cost, all rights, licenses, consents, releases, and clearances necessary for exhibition and promotion of the Film as contemplated here — including music synchronization and master use licenses, performance releases from all on-screen talent, location releases, and clearances for third-party footage, artwork, or trademarks;
- the Film and its exhibition do not infringe or violate any copyright, trademark, right of publicity or privacy, moral right, or other right of any third party;
- the Film is not defamatory and contains no unlawful content (any content involving the sexual exploitation of minors will be reported to authorities);
- no third party holds any claim, lien, or encumbrance on the Film that would interfere with the rights granted;
- all information in your submission is true, accurate, and complete; and
- your submission complies with all applicable laws and, if applicable, any guild or union rules covering the Film.
12. Indemnification
You agree to defend, indemnify, and hold harmless Company and its members, managers, officers, employees, contractors, panelists, sponsors, venues, and agents (the "Company Parties") from and against all claims, losses, liabilities, damages, judgments, settlements, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your Film or its exhibition or promotion as permitted here; (b) any breach of your representations, warranties, or obligations; or (c) your negligence, willful misconduct, or violation of law.
13. Content Standards; Removal Rights
Company may, in its sole discretion and without liability, decline to exhibit or cease exhibiting any Film that Company believes violates these Terms or the Festival Rules, exceeds an "R"-equivalent rating, may infringe third-party rights, may expose Company to legal or reputational risk, or is otherwise inconsistent with the character of the event.
14. No Obligation; No Reliance; Materials
Company may receive submissions similar in theme, concept, or content to your Film, and Company's independent development, acquisition, or exhibition of similar material creates no liability to you. You have not submitted in reliance on any statement not expressly set forth in these Terms, and Company owes you no fiduciary duty. Submitted materials will not be returned; retain copies. Company may delete or destroy materials for non-selected Films at any time after the applicable Festival.
Part II — Event Attendance Terms
Applies to anyone purchasing tickets to or attending a Company event
These Event Attendance Terms govern the purchase of tickets to, registration for, and attendance at any Festival, screening, premiere, or other event organized, hosted, or presented by Company (each, an "Event"). By purchasing a ticket, registering for, or attending an Event, you ("Attendee," "you," or "your") agree to be bound by these Terms. If you do not agree, do not purchase a ticket or attend.
1. Acceptance; Event Rules
Ticket purchase, registration, or entry to an Event constitutes acceptance of these Terms and of any event-specific rules, policies, or requirements published by Company or the venue for a particular Event ("Event Rules"). If these Terms conflict with the Event Rules for a specific Event, the Event Rules control for that Event only.
2. Tickets; License to Attend
Tickets are made available to the general public on a first come, first served basis and may sell out. A ticket is a limited, personal, revocable license to attend the applicable Event; it is not a property right. Company may set per-person purchase limits and may cancel tickets it believes were obtained in violation of these Terms, through automated means, or for unauthorized resale. Tickets may not be resold above face value, used for promotions, sweepstakes, or commercial purposes, or bundled with other products or services without Company's prior written consent; Company may void any ticket transferred in violation of this Section without refund.
3. Pricing; Payment; Refunds
Ticket prices, fees, and inclusions are as stated at the time of purchase. All ticket sales are final and non-refundable, except as expressly provided in Section 4 or as required by applicable law. Refunds are not available for non-attendance, late arrival, early departure, dissatisfaction with the Event or its program, removal for violation of these Terms, or changes to the film lineup, schedule, guests, or other Event content.
4. Event Changes; Cancellation
Company may, in its sole discretion, change the date, time, venue, format, program, film lineup, or any other aspect of an Event. The films, speakers, and content advertised for any Event are subject to change without notice, and such changes do not entitle you to a refund. If an Event is canceled in its entirety and not rescheduled, Company will refund the face value of your ticket (excluding any processing or service fees), which shall be your sole and exclusive remedy. If an Event is rescheduled, your ticket will be honored at the rescheduled Event.
5. Admission; Conduct; Removal
Admission is subject to compliance with these Terms, the Event Rules, venue policies, and applicable law. You consent to reasonable security measures, including bag checks, as a condition of entry. Company and the venue reserve the right to refuse admission to, or remove, any person — without refund — who is intoxicated or under the influence; who is disruptive, abusive, harassing, or threatening to any attendee, filmmaker, staff member, or other person; who damages property; who violates law, these Terms, the Event Rules, or venue policies; or whose conduct Company reasonably believes endangers safety or the enjoyment of others.
6. Age Requirements; Content Advisory
Events may feature films containing mature content up to and including material equivalent to an "R" rating under MPA guidelines, including strong language, violence, and adult themes. Attendees under seventeen (17) should be accompanied by a parent or adult guardian, and Company recommends parental discretion for all minors. Specific Events may impose stricter age requirements (for example, 18+ or 21+ events), which will be stated in the Event Rules and enforced at the door with valid government-issued photo identification. Company is not responsible for an attendee's or guardian's decision regarding a minor's exposure to Event content.
7. Alcohol
Where alcohol is served, service is restricted to persons twenty-one (21) years of age or older with valid government-issued photo identification, and is subject to venue policies and Georgia law. Company and the venue may refuse service to any person at any time. Outside alcohol is prohibited.
8. No Recording of Films
The recording, photographing, streaming, or transmission of any film exhibited at an Event, in whole or in part, is strictly prohibited and may violate federal and state anti-piracy laws. The films exhibited remain the intellectual property of their respective filmmakers. Violators will be removed without refund, may have infringing material deleted in their presence, and may be referred for civil or criminal enforcement by Company or the affected filmmaker. Incidental photography of the venue, lobby, and non-screening portions of the Event is permitted unless otherwise posted.
9. Filming and Photography Release
You acknowledge that Events are photographed and recorded. By attending, you irrevocably grant Company the right to photograph, film, and record your image, likeness, voice, and statements at the Event, and to use, edit, and publish the same, in any media now known or hereafter developed, for archival, promotional, and commercial purposes related to Company and its events, without notice, review, approval, or compensation. If you do not wish to appear in such materials, notify staff at the Event; Company will use reasonable efforts to accommodate but cannot guarantee exclusion from wide shots or incidental footage.
10. Assumption of Risk; Release
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU VOLUNTARILY ASSUME ALL RISKS, HAZARDS, AND DANGERS ARISING FROM OR RELATING TO ATTENDANCE AT AN EVENT — INCLUDING RISKS RELATED TO VENUE CONDITIONS, CROWDS, THE CONDUCT OF OTHER ATTENDEES, TRAVEL TO AND FROM THE EVENT, AND EXPOSURE TO ILLNESS — WHETHER OCCURRING BEFORE, DURING, OR AFTER THE EVENT, AND YOU RELEASE, WAIVE, AND DISCHARGE THE COMPANY PARTIES FROM ALL CLAIMS ARISING FROM SUCH RISKS, INCLUDING CLAIMS BASED ON THE ORDINARY NEGLIGENCE OF THE COMPANY PARTIES.
11. Personal Property; Health and Safety
Company and the venue are not responsible for lost, stolen, or damaged personal property. You agree to comply with all health and safety protocols in effect at the Event and not to attend if you are ill or have been advised to isolate or quarantine.
12. Ticket Interest Lists and Waitlists
Registering interest in an Event or joining a waitlist does not reserve a ticket, guarantee availability or pricing, or create any obligation on Company. Company may communicate with registrants about Events and related Company programming; you may unsubscribe at any time.
Part III — General Provisions
Applies to both Part I and Part II
1. Force Majeure
Company will not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including acts of God, fire, flood, severe weather, epidemics or pandemics, government action, venue unavailability, labor disputes, utility or technical failures, or civil disturbance.
2. Disclaimer of Warranties
FESTIVALS, EVENTS, AND ALL RELATED SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPANY DISCLAIMS ALL WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. COMPANY DOES NOT WARRANT THAT ANY FILM WILL BE REVIEWED, SELECTED, EXHIBITED, OR PROMOTED; THAT ANY EVENT WILL PROCEED AS ADVERTISED; OR THAT ANY LEVEL OF ATTENDANCE, TICKET SALES, OR EXPOSURE WILL BE ACHIEVED.
3. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) IN NO EVENT WILL THE COMPANY PARTIES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST OPPORTUNITIES, OR LOSS OF GOODWILL, ARISING OUT OF OR RELATING TO THESE TERMS, ANY SUBMISSION, ANY FESTIVAL, OR ANY EVENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; AND (B) THE COMPANY PARTIES' TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF (i) THE SUBMISSION FEE OR TICKET PRICE ACTUALLY PAID BY YOU FOR THE APPLICABLE FESTIVAL OR EVENT, OR (ii) ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
4. Governing Law; Venue; Dispute Resolution
These Terms are governed by the laws of the State of Georgia, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms, any submission, any Festival, or any Event shall be brought exclusively in the state or federal courts located in Fulton County, Georgia, and each party irrevocably consents to the personal jurisdiction and venue of such courts. Each party waives any right to a jury trial and any right to participate in a class or representative action, to the maximum extent permitted by law. Any claim must be brought within one (1) year after it accrues or it is permanently barred.
5. Miscellaneous
These Terms, together with the applicable Festival Rules or Event Rules, constitute the entire agreement between you and Company regarding their subject matter and supersede all prior understandings. If any provision is held unenforceable, it will be modified to the minimum extent necessary and the remainder will remain in force. Company's failure to enforce any provision is not a waiver. You may not assign these Terms without Company's prior written consent; Company may assign them in connection with a reorganization, merger, or sale of assets. Provisions that by their nature should survive (including ownership, licenses, confidentiality, releases, indemnification, disclaimers, limitations of liability, and dispute resolution) survive termination.
